Samhällsbyggnadsbolaget i Norden (SBB) has entered into an agreement with different sellers to acquire 86,204,610 common shares of class A in Amasten. This corresponds to a holding of 20.02 percent of the shares and 20.05 of the votes in Amasten as of today’s date. The total purchase price amounts to SEK 711,188,032 and closing has occurred/occur between 4th and 9th of October.

SBB has also, through a subsidiary, entered into an option agreement with Nordika III Fastigheter AB that gives SBB the right to purchase all of the shares in Nordika Publika Investeringar AB, a limited liability company whose only assets consists of 43,884,240 common shares of class A in Amasten. The call option can be exercised up until 30 April 2020 and the purchase price is determined on the basis of an underlying value of the common shares of class A in Amasten of SEK 8.25 per share. The total purchase price upon exercise of the call option would, given today’s underlying value, amount to SEK 362,044,980. Provided that the call option is exercised, SBB will, directly and indirectly, hold 130,088,850 common shares of class A in Amasten, which corresponds to 30.21 percent of the shares and 30.26 of the votes in Amasten as of today’s date.
