The issue is carried out due to SBB’s acquisition of a portfolio of preschools from Læringsverkstedet for MNOK 4,250. The newly issued D-shares constitute part of the agreed consideration and the subscription price per share corresponds to the share’s market value.
The directed share issue may result in an increase of the number of shares in SBB by not more than 44,197,779 and an increase in the share capital by not more than SEK 4,419,777.90. This entails an increase in the number of shares from 1,395,947,250 to 1,440,145,029 and an increase in the share capital from SEK 139,594,725 to SEK 144,014,502.90, corresponding to a dilution of approximately 3.1 percent of the outstanding number of shares and approximately 1.3 percent of the outstanding number of votes in SBB.
